These Terms of Service ("Terms") are a binding agreement between you and Zagmo Inc. ("Zagmo," "we," "us," or "our"), the company that operates Memyard (app.memyard.com). By accessing or using Memyard in any way — including browsing, creating an account, or reading content — you agree to be bound by these Terms and our Privacy Policy.
You must be at least 13 years old to use Memyard. By using the service, you represent that you meet this age requirement. If you are using Memyard on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use Memyard.
Memyard is a professional social network built around Google Drive activity. When you connect your Google account, Memyard monitors document-level activity — edits, comments, shares, and collaborator changes — and presents that activity in a unified feed.
The service includes the following features:
We may add, modify, or remove features at any time. We will make reasonable efforts to notify you of significant changes.
Memyard requires you to sign in with a Google account via OAuth. By connecting your Google account, you grant Memyard permission to access certain Google Drive data as described in our Privacy Policy. You can revoke this access at any time through your Google Account settings.
You are responsible for all activity that occurs under your account. You agree to keep your account credentials secure and to notify us immediately if you suspect unauthorized access. Each person may hold only one Memyard account. Creating multiple accounts to circumvent bans, limits, or other restrictions is prohibited.
You retain ownership of the Memos and other content you create on Memyard. By publishing content on Memyard, you grant Zagmo a non-exclusive, worldwide, royalty-free license to display, distribute, and store that content solely for the purpose of operating and improving the Memyard service. This license ends when you delete your content or your account.
Your Google Drive documents remain entirely in your Google account. Memyard only reads and stores activity metadata — document titles, timestamps, collaborator names, and comment summaries. We do not copy, store, or transmit the full text of your Google Drive documents.
You are responsible for the content you post. Do not post content that is unlawful, defamatory, harmful, or that violates anyone else's rights.
You agree not to use Memyard to:
We reserve the right to investigate and take appropriate action — including suspending or terminating your account — for any violation of these restrictions.
Memyard uses AI to generate document summaries, daily briefings, and activity analysis. These features are generated automatically and may contain errors, omissions, or inaccuracies. The AI does not have access to the full text of your documents — it works from metadata and activity signals, which limits its context and accuracy.
AI-generated content on Memyard is provided for informational convenience only. It does not constitute professional, legal, financial, or any other form of expert advice. You should not make important decisions based solely on AI-generated summaries or briefings. Always verify important information by reviewing the original source documents.
Memyard integrates with Google Drive, Google Contacts, and other Google services. Your use of those services is subject to Google's own Terms of Service and Privacy Policy.
Memyard may link to or interact with other third-party websites and services. We are not responsible for the content, privacy practices, or terms of those third parties.
The Memyard name, logo, product design, and all associated trademarks are the intellectual property of Zagmo Inc. Nothing in these Terms grants you a right to use our trademarks, trade names, or other brand elements without our prior written permission.
The Memyard software includes open-source components that are licensed under their respective open-source licenses. Those licenses are unaffected by these Terms.
Memyard is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, Zagmo disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by applicable law, Zagmo and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use Memyard, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from these Terms or your use of Memyard will not exceed the greater of (a) the amount you paid to Zagmo in the 12 months preceding the claim, or (b) $100 USD.
You may delete your account at any time through the Settings page. Upon deletion, your data will be removed as described in our Privacy Policy.
We reserve the right to suspend or terminate your account — with or without notice — if you violate these Terms, if required by law, or if we reasonably believe your use of the service poses a risk to other users or to Memyard. If your account is terminated for cause, we may decline to restore it.
Provisions that by their nature should survive termination — including intellectual property rights, limitation of liability, and governing law — will continue to apply after termination.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising from or relating to these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
